Acceptance of These Terms

The following Terms & Conditions, Informed Consent, and Telehealth Agreement (collectively, “Terms”), together with any applicable documents they expressly incorporate by reference, govern your access to and use of WayPax Health, LLC’s (“WayPax Health,” “we,” or “us”) website, software, and services. Please read these Terms carefully. By clicking “I accept,” accessing, or using the WayPax Health website, software, and/or services, you accept and agree to be bound by these Terms. If you do not agree, do not access or use the WayPax Health website, software, and/or services.

“WayPax Health Software” means WayPax Health’s web-based software applications, accessible via a web browser and intended to be used by clinicians and patients for asynchronous telemedicine services, including any version updates thereto.

“Services” means WayPax Health’s asynchronous telemedicine services, including pre-travel health consultations and, where applicable, synchronous video consultations, provided directly to patients through the WayPax Health Software or any other online interface WayPax Health makes available subject to these Terms.

These Terms govern your access to and use of: (a) the website at www.waypaxhealth.com (the “Website”); (b) WayPax Health’s API, tools, instructions, and related documentation; (c) the WayPax Health patient portal; and (d) any other services owned or operated by WayPax Health that link to these Terms.

WayPax Health reserves the right to change or modify these Terms at any time in its sole discretion. Changes are effective immediately upon posting. Your continued use constitutes acceptance of any changes. If you do not agree to revised Terms, you must discontinue use of the Services.

1. Changes to These Terms

We may update, revise, or otherwise change these Terms from time to time in our sole discretion. All changes are effective immediately when posted. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. If you disagree with any revision, your sole and exclusive remedy is to discontinue your use of the Services.

2. Accessing the Services

You must have compatible devices, Internet access, and certain software to use the Services. Fees and data charges may apply. You are responsible for all arrangements necessary to access the Services. We reserve the right to update or change the Services without notice and will not be liable if all or any part of the Services is unavailable at any time or for any period.

3. Intellectual Property Rights; Permitted Uses

The WayPax Health website, software, and Services are protected by copyright and other intellectual property laws. The Services, the WayPax Health Software, and all materials provided or made available by WayPax Health are the exclusive property of WayPax Health, LLC. WAYPAX HEALTH, its logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WayPax Health, LLC or its affiliates or licensors. You must not use such marks without prior written permission. All rights not expressly granted are reserved by WayPax Health.

4. Reliance on Information; Emergency Services

Information on the WayPax Health website is made available solely for general information purposes. Any reliance you place on such information is strictly at your own risk. Website content does not constitute medical advice; medical advice is provided only through a completed asynchronous or video consultation with a licensed WayPax Health Provider.

NOT A SUBSTITUTE FOR EMERGENCY SERVICES. WayPax Health is not a substitute for emergency medical services. If you are experiencing a medical emergency, call 9-1-1 or go to the nearest emergency room immediately. Do not attempt to contact a WayPax Health Provider to address a medical emergency. WayPax Health Providers cannot dispatch emergency responders and are not equipped to manage emergency situations.

Always seek the advice of a physician or other qualified health professional with any questions regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you read on the WayPax Health website. WayPax Health is not responsible or liable for any advice, course of treatment, or diagnosis based solely on the information on the WayPax Health website.

5. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use any automated script, robot, spider, or similar process to access, acquire, copy, or monitor any portion of the Services;
  • Interfere with or attempt to interfere with the proper working of the Services;
  • Introduce any virus, worm, or other malicious or technologically harmful material;
  • Attempt to gain unauthorized access to, damage, or disrupt any part of the Services or any connected systems;
  • Provide information to us that is false, misleading, fraudulent, or inaccurate;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Use the Services to violate any local, state, national, or international law;
  • Reverse engineer, disassemble, decompile, or translate any software or components of the Services;
  • Distribute, upload, or transmit any virus, Trojan horse, or other harmful computer code;
  • Use the Services in any manner that infringes, misappropriates, or otherwise violates any intellectual property or other right of any third party;
  • License, sublicense, sell, resell, transfer, assign, or distribute the Services or related materials to any third party;
  • Use the Services to create or develop competing products or services;
  • Remove, delete, alter, or obscure any trademark, copyright, or other proprietary rights notices from the Services; or
  • Encourage or enable any other individual to do any of the foregoing.

6. Information Collected Through the Services

To access the Services, you may be asked to provide registration details or other information. All information you provide must be correct, current, and complete. All information you provide is governed by our Privacy Policy, incorporated herein by reference. Submissions over the Internet, including via text or automated messages, may not be secure or encrypted. Please consider this before providing any information through the Services.

7. SMS Communications and Consent

A. Consent to Receive SMS Messages

By providing your mobile telephone number and using our Services, you expressly consent to receive text messages (SMS) from WayPax Health at the mobile number you provide. These messages may include:

  • Transactional and informational messages such as consultation status updates, intake confirmations, provider response notifications, and account-related alerts; and
  • Marketing and promotional messages such as information about new services, special offers, and health tips relevant to travel medicine.

Your consent to receive marketing SMS messages is not a condition of purchasing any goods or services from WayPax Health. You may receive transactional messages as a necessary part of your clinical care regardless of your marketing preferences.

B. Message Frequency and Costs

Message frequency will vary based on your use of the Services and your communication preferences. Standard message and data rates may apply depending on your mobile carrier and plan. WayPax Health is not responsible for any charges imposed by your mobile carrier.

C. Opting Out

You may opt out of marketing SMS messages at any time by replying STOP to any marketing text message from us. After opting out, you will receive a single confirmation message. You may continue to receive transactional and clinical messages necessary for the administration of your active consultation. To opt back in to marketing messages, reply START or contact us at privacy@waypaxhealth.com.

D. Help

For help regarding SMS communications, reply HELP to any text message from WayPax Health or contact us at privacy@waypaxhealth.com.

E. Mobile Number Accuracy

You represent that you are the account holder or authorized user of the mobile number you provide and that you are authorized to consent to receive SMS messages at that number. You agree to notify WayPax Health promptly if you change your mobile number.

8. Fees, Payment, and Refund Policy

A. Direct-Pay Services

WayPax Health is a direct-pay telemedicine service. We do not bill, file claims with, or accept reimbursement from any health insurance plan, Medicare, Medicaid, or any other third-party payor. Payment for services is due at the time of booking. All fees are stated in U.S. dollars.

B. No Refunds After Provider Review

ALL FEES PAID FOR A CONSULTATION ARE NON-REFUNDABLE ONCE A LICENSED WAYPAX HEALTH PROVIDER HAS REVIEWED YOUR INTAKE INFORMATION, regardless of whether a formal written response, prescription, or treatment recommendation has been issued. By submitting your intake information and completing payment, you acknowledge and agree to this policy.

The sole exception to this policy is if, at the clinical discretion of the reviewing Provider, it is determined that your condition or circumstances fall outside the scope of services WayPax Health is able to provide. In such cases, a full refund will be issued. This determination is made exclusively by the Provider and is not subject to appeal or external review.

If you have questions about your consultation or believe there was an error with your booking prior to provider review, please contact us at privacy@waypaxhealth.com as soon as possible.

9. Telehealth Services and Informed Consent

By accepting these Terms, you provide your informed consent to receive telehealth services from WayPax Health and the independent licensed clinicians who provide clinical services through the WayPax Health platform (“Providers”). This section governs the nature, benefits, risks, and limitations of those services.

A. What Is Telehealth?

Telehealth involves the delivery of health and wellness services using electronic communications, information technology, or other means between a licensed health care professional at one location and a patient in another location. WayPax Health primarily uses asynchronous (store-and-forward) technology, meaning you submit health information through the platform and a Provider reviews and responds without a real-time interaction. Where applicable, WayPax Health may also offer or facilitate synchronous audio-video consultations as described in Section 9.C below.

B. Description of Services

WayPax Health specializes in pre-travel health consultations. Providers may include physician assistants, nurse practitioners, physicians, or other independently licensed clinicians. The name, credentials, and specialty of your Provider will be disclosed to you before, during, or after services are provided.

We may present you with intake questions to help determine whether a telehealth consultation is appropriate for your needs. Based on your responses, we may determine that a telehealth visit is not appropriate for the particular issue you submitted. In such case: (i) you will receive a notification that you are unable to use the Services for that issue; (ii) your request will not be submitted to a Provider; (iii) no Provider will receive the information you submitted; and (iv) you will need to seek care in another way.

Following review of your intake information, a Provider may independently determine that your condition is not suitable for diagnosis or treatment via telehealth. In such case, the Provider will notify you and may provide information regarding next steps. The Provider is solely responsible for providing that notification.

Services may result in a new prescription, refill of an existing prescription, patient education, non-prescriptive recommendations, or a recommendation to seek follow-up care in-person or through a different provider. No specific outcome, cure, or improvement can be guaranteed.

C. Video Visits — State-Specific Requirements and Upgrade Option

WayPax Health operates in all 50 states and complies with applicable state telehealth laws, which vary significantly. Certain states require a prior in-person or synchronous video encounter before a Provider may prescribe certain medications, establish a valid patient-provider relationship, or deliver certain categories of care. In those states, or where your clinical situation otherwise warrants it, WayPax Health may require or offer a synchronous audio-video visit.

Video visits may be required in the following circumstances (without limitation):

  • Your state of residence requires a synchronous encounter prior to prescribing or as a condition of establishing a valid telehealth relationship under applicable law;
  • Your Provider determines, in their clinical discretion, that a synchronous encounter is necessary or appropriate for your presenting condition; or
  • You elect to upgrade to a video visit as a paid add-on service.

If a video visit is required by state law or by your Provider, you will be notified before your consultation is submitted and before any additional charge is applied. If you do not wish to proceed with a required video visit, you may cancel your consultation in accordance with Section 8.B. Video visits, once completed, are subject to the same no-refund policy as asynchronous consultations. You are responsible for ensuring that you have compatible technology (camera, microphone, and stable Internet connection) for any scheduled video visit.

WayPax Health makes no guarantee that video visits are available in all states or for all clinical matters at all times. The availability of video visits may be affected by state law changes, Provider availability, or platform limitations.

D. Benefits of Telehealth

Your use of the Services may have the following potential benefits:

  • Making it easier and more efficient for you to seek medical care for conditions treatable via telehealth;
  • Allowing you to seek medical care at times convenient for you without an in-office appointment; and
  • Enabling asynchronous communication with a Provider, which may reduce wait times and eliminate travel.

E. Risks of Telehealth

As with any medical service, there are potential risks associated with telehealth, which may include without limitation:

  • Information transmitted to your Provider may be insufficient (e.g., poor image resolution or incomplete intake responses) to allow an appropriate medical decision;
  • The inability to conduct in-person tests or assess vital signs may prevent a Provider from delivering a diagnosis, treatment, or from identifying a need for emergency care;
  • Your condition may not be suitable for telehealth treatment, requiring you to seek in-person or emergency care;
  • Delays in evaluation or treatment may occur due to Provider unavailability, technology failures, transmission delays, or other causes;
  • Electronic systems or security protocols could fail, resulting in a breach of privacy of your medical information;
  • Prescription and treatment options may be more limited than through in-person care; and
  • Lack of access to your complete medical records or inability to perform an in-person examination could result in adverse outcomes, including adverse drug interactions or allergic reactions.

F. Your Representations and Acknowledgements

By accepting these Terms, you represent and warrant the following:

  • You have reviewed the benefits and risks of telehealth services described above and you consent to receive care through the Services.
  • You understand that you have the right to access your medical information created during use of the Services or to have that information forwarded to a third-party provider. WayPax Health will not forward personally identifiable information to third parties without your written consent.
  • You understand that WayPax Health may use third-party vendors and technology to provide the Services.
  • You understand that the use of the Services involves electronic communication of your personal medical information to Providers who may be located in other states, and that electronic systems or security protocols could fail, causing a breach of privacy of your medical or other information. YOU AGREE TO HOLD WAYPAX HEALTH AND ITS PROVIDERS HARMLESS FOR ANY INFORMATION LOST DUE TO TECHNICAL FAILURES OUTSIDE THEIR REASONABLE CONTROL.
  • You understand that it is your duty to provide truthful, accurate, and complete information to your Provider, including all relevant information regarding care you have received or are receiving from other health care providers.
  • You understand that if you are uncomfortable with receiving the Services or the method in which they are provided, you should contact WayPax Health at privacy@waypaxhealth.com.
  • You understand that in the event of a medical emergency or adverse reaction to treatment, you should call 9-1-1 immediately.
  • You understand that you may refuse or withdraw from care at any time, and that your refusal or withdrawal will not affect your ability to receive care in the future, subject to the refund policy in Section 8.B.
  • You understand that no specific results, cure, or improvement can be guaranteed.
  • You understand that failure to comply with these Terms may result in termination of your ability to use the Services.

10. Provider Relationship and Limitation of Provider Liability

A. Independent Contractor Status

WayPax Health Providers are independent licensed clinicians who contract with WayPax Health to make their services available through the WayPax Health platform. Providers are not employees, agents, partners, or joint venturers of WayPax Health, LLC. WayPax Health does not practice medicine, does not employ Providers to practice medicine, and does not control or direct Providers in their clinical decision-making. All clinical judgments, diagnoses, treatment plans, and prescribing decisions are made solely and exclusively by the individual Provider.

NOTE: WayPax Health intends to establish a professional limited liability company (PLLC) through which Providers may be employed in the future. Upon establishment of the PLLC, these Terms will be updated to reflect the revised Provider relationship. Until such time, all Providers remain independent contractors.

B. No Company Liability for Provider Clinical Decisions

WayPax Health, LLC is a technology and administrative services company. It is not a licensed medical provider and does not provide medical advice, diagnosis, or treatment. WayPax Health is not responsible or liable for any act or omission of any Provider, including without limitation:

  • Any clinical decision, diagnosis, treatment recommendation, or prescription issued or declined by a Provider;
  • Any delay or failure by a Provider to respond to a consultation request;
  • Any failure by a Provider to notify you that your consultation cannot be completed or to provide follow-up information;
  • Any adverse outcome, injury, or harm resulting from care provided or not provided by a Provider; or
  • Any errors, omissions, or inaccuracies in a Provider’s clinical assessment.

YOUR SOLE RECOURSE FOR ANY CLAIM ARISING FROM A PROVIDER’S CLINICAL CARE IS AGAINST THE INDIVIDUAL PROVIDER, NOT WAYPAX HEALTH, LLC. WAYPAX HEALTH’S ROLE IS LIMITED TO PROVIDING THE PLATFORM AND ADMINISTRATIVE SERVICES THAT FACILITATE THE PROVIDER-PATIENT RELATIONSHIP.

C. No Provider Liability for Platform or Administrative Failures

Providers are not responsible or liable for:

  • Any failure, downtime, or malfunction of the WayPax Health platform, software, or technology infrastructure;
  • Any breach of patient data or privacy resulting from a failure of WayPax Health’s systems or third-party vendors;
  • Any billing, payment, or administrative errors made by WayPax Health;
  • Any content on the WayPax Health website or marketing materials; or
  • Any act or omission of WayPax Health, LLC or its employees, agents, or contractors.

D. Provider Scope of Practice and Applicable Law

Each Provider is responsible for practicing within the scope of their individual license and in compliance with the laws of the state(s) in which they are licensed and in which the patient is located at the time of the consultation. WayPax Health does not guarantee that a Provider licensed in a particular state will be available at any given time. If no licensed Provider is available in your state, you will be notified and your consultation will not proceed.

E. Patient Acknowledgement of Provider Independence

By accepting these Terms, you acknowledge and agree that: (i) your Provider is an independent licensed clinician, not an employee or agent of WayPax Health; (ii) WayPax Health does not control or supervise Provider clinical decisions; (iii) any claim arising from your clinical care must be directed to your individual Provider; and (iv) WayPax Health’s liability is limited as set forth in Section 11 below.

11. Disclaimer of Warranties and Limitation of Liability

YOU EXPRESSLY AGREE THAT USE OF THE WAYPAX HEALTH WEBSITE, SOFTWARE, AND/OR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WAYPAX HEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY “RELATED PERSONS”) MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES WITH RESPECT TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, TITLE, AVAILABILITY, SECURITY, ACCURACY OF DATA, COMPLETENESS, TIMELINESS, FUNCTIONALITY, OR RELIABILITY.

TO THE FULLEST EXTENT OF APPLICABLE LAW, NEITHER WAYPAX HEALTH NOR ITS RELATED PERSONS WILL BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON CONTENT OBTAINED THROUGH THE SERVICES. WAYPAX HEALTH DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, OR FREE FROM ERROR, DEFECT, LOSS, DELAY IN OPERATION, CORRUPTION, CYBER ATTACK, VIRUSES, INTERFERENCE, HACKING, MALWARE, OR OTHER SECURITY INTRUSION, AND WAYPAX HEALTH DISCLAIMS ANY LIABILITY RELATING THERETO.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF WAYPAX HEALTH OR THE RELATED PERSONS ARISING OUT OF OR IN ANY WAY RELATED TO ACCESS OR USE OF THE SERVICES EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID TO US IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH YOUR CLAIM AROSE. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF YOUR REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless WayPax Health and its Related Persons from and against any and all third-party suits, actions, claims, proceedings, damages, settlements, judgments, injuries, liabilities, obligations, losses, risks, costs, and expenses (including, without limitation, reasonable attorneys’ fees, litigation expenses, and accounting fees), relating to or arising from your use of the Services in an unauthorized manner, fraud, violation of law, willful misconduct, or any breach by you of these Terms.

13. Release

To the fullest extent permitted by applicable law, you release WayPax Health and the other Related Persons from responsibility, liability, claims, demands, and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between users and the acts or omissions of third parties, including independent Provider clinicians. If you are a California resident, you hereby waive any rights you may have under California Civil Code § 1542 as well as any other statute or common law principles that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

14. No Waiver

No waiver by WayPax Health of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by WayPax Health to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Remedies

You agree that any violation, or threatened violation, by you of these Terms constitutes an unlawful and unfair business practice that will cause us irreparable and unquantifiable harm. You also agree that monetary damages would be inadequate for such harm and consent to our obtaining any injunctive or equitable relief that we deem necessary or appropriate. These remedies are in addition to any other remedies we may have at law or in equity.

16. Third-Party Links

Links from the WayPax Health website to third-party websites (“Linked Sites”) are provided for your convenience only. Linked Sites are not under our control. We are not responsible for the information, products, or services on any Linked Site and are not liable for any content, errors, damage, or loss arising from your use of or reliance on any Linked Site. Accessing any third-party website is at your own risk and subject to that website’s terms of use.

17. Termination

These Terms will remain in full force and effect as long as you continue to access or use the Services. You may terminate these Terms at any time by discontinuing use of the Services. Your permission to use the Services automatically terminates if you violate these Terms. WayPax Health may terminate or suspend your access to the Services with or without prior notice, for any reason, at any time.

18. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim related thereto, shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any conflict of law principles. Any legal suit, action, or proceeding related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Wyoming, although WayPax Health retains the right to bring any suit, action, or proceeding against you for breach of these Terms in your state of residence. You expressly waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, these Terms are subject to applicable state and federal telehealth laws and regulations, which vary by jurisdiction. To the extent that any provision of these Terms conflicts with a mandatory provision of applicable law in your state of residence, that state law provision controls solely with respect to that conflict, and all remaining provisions of these Terms remain in full force and effect.

19. Miscellaneous

If any provision of these Terms is held by a court to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and WayPax Health regarding the Services and supersede all prior and contemporaneous understandings and agreements regarding the WayPax Health website, software, and/or services.

Acknowledgement and Informed Consent

By clicking “I accept,” you:

  • Certify that you are the patient, or that you are duly authorized by the patient as the patient’s representative or legal guardian;
  • Acknowledge that you have read and agree to these Terms & Conditions in their entirety;
  • Acknowledge and accept the risks, benefits, and limitations of telehealth services as described in Section 9, and give your informed consent to receive clinical services under the terms described herein;
  • Acknowledge that WayPax Health Providers are independent licensed clinicians, not employees or agents of WayPax Health, LLC, and that WayPax Health is not liable for Provider clinical decisions as described in Section 10;
  • Consent to receive SMS communications as described in Section 7, including both transactional and marketing messages;
  • Acknowledge that WayPax Health is NOT a substitute for emergency medical services, that you will call 9-1-1 or go to the nearest emergency room in the event of a medical emergency, and that you will not use the Services to address a medical emergency;
  • Acknowledge and agree to the refund policy set forth in Section 8, including that fees are non-refundable once a Provider has reviewed your intake information, subject only to a Provider’s clinical determination that you cannot be treated through the Services; and
